Business Services

San Diego Business Consultant, Analyst and Adviser

My expertise in business consulting comes from a legal background combined with practical experience over 25 years creating and developing numerous high and low-tech companies.

Business Outline
I assist entrepreneurs in assessing their needs and desires, the financial viability of the potential business, and conduits to individually profit from and through their proprietary concept(s). I then provide counsel in creating a business outline with realistic goals, assumptions, budgets, forecasts and analysis to determine the best business and legal methods for the start-up.

Initial considerations include the following:

Who will buy your products or services, and why?
What are the unique values of your concept(s)?
What kind of resources, people, infrastructure, and money will be required to develop the concept(s) and build this company?
Could partners help you in development, management or financing?
What would you be willing to "sell" to bring in partners?
When will income flow to the company?
When will the company be self-sufficient?
How long can you personally go without making any money?
Are you willing to decrease your standard of living to make this work?
Do you have sources for acquiring personal and/or business capital?
How much of your time will you dedicate?
Are there age or health considerations?
What are the risks to your dependants?

Business Entity Formation
I counsel clients regarding the best business structure (such as a corporation, limited liability company, S-corporation, etc.) and draft necessary legal documentation to protect client's proprietary concept(s) and ownership of the intellectual property.

Structure
I assist clients in creating an entity structure to effectively develop the intellectual property and efficiently initiate and grow the start-up. I prepare all necessary documentation to protect company interests, implement the structure and ensure that key employees and contracted professionals perform services consistent with the overall plan.

Plan
I assist in the development of a realistic and comprehensive Business Plan to maximize the founders' interests yet remain attractive to investors. Basically the Business Plan defines how and when the founders will use proprietary concepts to build the start-up into a profitable business. Elements of the Business Plan include:
